Trojan Dugout Club ByLaws

Article I - Name

This organization shall be known as the Trojans Dugout Club, and was organized on Tuesday July 26, 2005 at 7:30 p.m. in Lamar County Barnesville, Georgia.

Article II - Mission Statement

The purpose, and-or-mission, of this organization is to unite all persons, or firms, interested in stimulating and promoting the education, health, and physical welfare of students in Lamar County, specifically by:

Article III - Organizational Calendar Year

The organizational year shall begin February 1st of each calendar year and run through January 31st of the following year.


Article IV - Membership

Section 1: Persons or businesses who support the Trojan Dugout Club functions and who annually meet membership requirements shall be approved for membership into this organization by the Membership Committee.

Section 2: Annual membership requirements including membership fees shall be approved by the Trojan Dugout Club Board prior to the annual membership drive.

Section 3: The Trojan Dugout Club Board shall be empowered to grant annual or lifetime Honorary Membership to any person or business deemed appropriate with privileges so stated at the time.

Article V - Voting Rights & Elections

Every member of this organization in attendance shall be allowed one vote on Bylaw amendments, on major issues brought before the membership by the Trojans Dugout Club Board, and in annual election of officers. The president shall vote only to break ties. Election of officers will be held in February of each year at an annual general membership meeting to be called by the Trojan Dugout Club Board, if not held in accordance with Article XI hereof. Officers will take office effective February 1st.

Article VI - Trojan Dugout Club Board

Section 1: The representative body of this organization shall be designated as the Trojan Dugout Club Board and shall consist of (a) the four elected officers, (b) the Director of Athletics and the principal of Lamar County Comprehensive High School, (c) the Middle School, (d) the Immediate Past President. A quorum for the transaction of business by the Trojan Dugout Club Board shall consist of at least one-half of those named in this Section in attendance. The president shall only vote to break ties.

Section 2: The business and property of this organization shall be managed by the Trojan Dugout Club Board, who shall have responsibility for the normal operating control and management of the organization.

Section 3: The officers of this organization shall consist of a President, Vice-President, Secretary, and Tresurer. Each officer shall perform the duties usually performed by such officers and as described in Robert's Rule of Order. Revised together with such duties as shall be described by these Bylaws.

Section 4: The PRESIDENT shall call and preside at all meetings of the membership and the Trojan Dugout Club Board (of which he, or she, serves as chairman). At all meetings, the President may vote only to break ties. The President shall serve as this organization's official representative to all appropriate functions. The President shall appoint Chairpersons of Standing Committees and additional persons from the general membership to serve on these committees. Chairpersons of any Special Committees may be appointed from the general membership at the discretion of the President. The President may serve as ex-officio member of all Standing and Special Committees except the Nominating Committee. The President shall serve a one-year term.

Section 5: The VICE PRESIDENT shall serve in the absence of the President and shall acquaint himself, or herself, with the activities of the organization and the duties of the President. The Vice-President shall serve a one-year term.

Section 6: The SECRETARY shall take minutes at all meetings of the general membership and the Trojan Dugout Club Board. He, or she, shall maintain appropriate records and correspond as directed by the President. The Secretary shall serve a one-year term.

Section 7: The TREASURER shall maintain accountability for all funds. He, or she, shall deposit monies and make payments in accordance with the annual budget or as authorized by the Trojan Dugout Club Board. The Treasurer shall be prepared to render a current financial report at all meetings of the general membership and the Trojan Dugout Club Board. The Treasurer shall serve a one-year term.

Section 8: Officers shall be elected by the general membership for a one-year term and shall be installed at the General Membership Meeting in February of each year. Vacancies on the Trojan Dugout Club Board which occur during the organizational year shall be filled by majority vote of the Trojan Dugout Club Board, except that any replacement for the past-president who accepts the appointment. Officers may succeed themselves.

Section 9: The government of this organization and the execution of its activities between General Membership Meetings shall be vested in the Trojan Dugout Club Board. This applies where new business or urgent matters are concerned. The Trojan Dugout Club Board shall not be empowered to over-rule a decision by the general membership, but instead to conduct business when a special or called meeting of the general membership is not practical.

Article VII - Standing Committees

Section 1: The following Standing Committees shall include the general membership as necessary to perform the duties as indicated.

  • Membership - Annually increases the membership by making recommendations to the Board concerning membership requirements and services and conducting the annual membership drive.
  • Promotions - Favorably promote the organization by conducting advertisement sales and the selling of the Ad Signs / Sponsor Sign Board and conducting any other large scale promotions.
  • Publicity - Provide publicity to include newsletters and information about any Trojan Dugout Club activities to the news media.
  • Fundraising - Coordinate projects which include, but are not limited to, the annual Boston Butt Sale (November), Mega Yard Sale (February), and Alumni Game (February) for the purpose of raising funds for the annual budget.
  • Diamond Girls - Will work side by side with the Diamond Girl Sponsor and Head Baseball Coach to assist with projects which promote spirit and fundraising.
  • Concessions - Provide refreshments at a profitable price during middle school, junior varsity, and varsity home baseball games.
  • Website - Provide current and updated information to the public on upcoming events and news on Diamond Trojans Baseball.

Section 2: Chairpersons for the Standing Committees shall be appointed annually by the President.

Section 3: The President will work closely with each Chairperson in appointing members to serve on designated committees and subsequent sub-committees.

Article VIII - Special Committees

The President shall appoint Special Committees as he deems appropriate.

Article IX - Officer Nominations

A slate of candidates for officers to serve on the Trojan Dugout Club Board for the upcoming year shall be nominated from the general membership at the general membership in February.

Article X - Meetings

Section 1: Meetings shall be called by the President or the Vice-President in his / her absence. In the event the President and Vice-President fail to call meetings, the Board by majority vote may call meetings of the general membership, having the power to establish the date, time, and place in the event of the failure of the President or Vice-President to so act.

Section 2: Meetings of the general membership shall normally be held on the first Tuesday of each month.

Section 3: The Trojan Dugout Club Board shall normally meet monthly.

Section 4: All meetings of the General Membership and the Trojan Dugout Club Board shall be opened to all Trojan Dugout Club Members.

Article XI - Amendments

These Bylaws may be amended at the February meeting of the general membership by the affirmative vote of two-thirds majority of those members present.
